These Terms and Conditions (the **"Terms"**) govern access to and use of the Services operated by Dynamic Bio Holdings, Inc.. By visiting, creating an account, accepting an order form, submitting information, purchasing a subscription, joining a marketplace or technical room, or otherwise using the Services, you agree to these Terms and the policies incorporated by reference.
## 1. Scope and Incorporated Policies
These Terms apply across Dynamic Bio, Fusion, Core, the Connect portals, the Dynamic Bio Command Center, and related Services. The following documents are incorporated into these Terms where applicable:
- Privacy Policy;
- Cookie Policy;
- Acceptable Use Policy;
- Subscription, Billing, Cancellation and Refund Policy;
- Marketplace Terms;
- Community and Technical Room Guidelines;
- Advertising and Sponsorship Terms;
- Data Processing and International Privacy Notice; and
- any order form, enterprise agreement, statement of work, campaign order, or product-specific terms accepted by the parties.
If a signed agreement conflicts with these Terms, the signed agreement controls only for the subject matter it expressly covers.
## 2. Eligibility and Authority
The Services are intended for adults and business or professional use. You must be at least 18 years old and capable of entering a binding agreement. If you use the Services for an organization, you represent that you are authorized to bind that organization and that the organization is responsible for your use and the use of its authorized users.
The Services are not directed to children under 13, and Dynamic Bio does not knowingly permit children under 13 to create accounts or submit personal information.
## 3. Accounts and Credentials
You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding credentials, using reasonable security measures, and promptly reporting suspected unauthorized access. You may not share an individual account except through an approved team or enterprise feature.
Dynamic Bio may require email verification, multifactor authentication, identity or company verification, or other safeguards. Account access levels may include Free, Professional, Enterprise, or other tiers. Access rights are determined by the applicable platform, order form, and administrator settings.
## 4. License to Use the Services
Subject to these Terms and payment of applicable fees, Dynamic Bio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business or professional purposes during the applicable term.
You may not copy, sell, rent, lease, sublicense, reverse engineer, circumvent access controls, scrape at scale, create a competing service from protected elements, or use the Services beyond the scope of your authorized access, except where applicable law expressly prohibits such restrictions.
## 5. Nature of the Services and Professional Judgment
The Services provide commercialization infrastructure, data organization, supplier discovery, professional collaboration, project-support tools, marketplace functions, and decision support. They do not replace qualified engineering, scientific, legal, financial, investment, insurance, cybersecurity, export-control, environmental, safety, licensing, regulatory, or other professional advice.
Information and outputs may be incomplete, delayed, inaccurate, or unsuitable for a particular project. Users must independently verify material facts, calculations, supplier claims, technical assumptions, regulatory requirements, and safety implications before acting. No output constitutes a guarantee of feasibility, performance, safety, licensing, financing, procurement, cost savings, project approval, commercial success, or regulatory acceptance.
## 6. Hydrogen and Nuclear Information Boundaries
Hydrogen projects may involve hazardous materials, pressure systems, flammability, cryogenic conditions, transportation, storage, and other significant risks. Nuclear projects may involve regulated technology, export controls, safeguards, physical security, cybersecurity, radiation protection, licensing, and national-security considerations.
Do not submit classified information, export-controlled technical data, safeguards-sensitive information, security-sensitive information, facility access details, vulnerability information, restricted plant drawings, proprietary reactor-design information, emergency-security procedures, authentication credentials, encryption keys, or other information that you are not authorized to disclose.
Dynamic Bio may remove or restrict information that reasonably appears unsafe, restricted, unlawful, or inappropriate for the Services.
## 7. User Content
You retain ownership of your User Content. You grant Dynamic Bio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, format, analyze, and otherwise process User Content as necessary to provide, secure, improve, support, and administer the Services and to comply with law.
You represent that you have all rights and permissions necessary to provide User Content and that it does not violate law, contractual duties, confidentiality obligations, intellectual-property rights, privacy rights, or these Terms.
Dynamic Bio does not assume a duty to review all User Content. We may moderate, restrict, preserve, or remove content when reasonably necessary for safety, security, legal compliance, service integrity, or enforcement.
## 8. Confidentiality and Technical Rooms
The Services do not automatically create an attorney-client, fiduciary, consulting, engineering, broker, or other privileged relationship. A room marked private or encrypted is not a substitute for a negotiated nondisclosure agreement or secure data room.
Participants may copy, download, photograph, disclose, or misuse information despite technical controls. Share confidential information only when you have authority and have evaluated the participants, contractual protections, and technical safeguards.
## 9. Marketplace and Third-Party Relationships
Marketplace listings, profiles, badges, rankings, search results, and introductions do not constitute endorsement, certification, warranty, or verification unless expressly stated in writing. Unless an order form expressly provides otherwise, Dynamic Bio is not the buyer, seller, manufacturer, broker, carrier, engineering firm, insurer, lender, employer, or contracting party in transactions between users.
Users are responsible for due diligence, contracting, regulatory compliance, export controls, sanctions screening, taxes, insurance, product suitability, shipping, safety, warranties, and dispute resolution. The Marketplace Terms apply to all marketplace use.
## 10. Third-Party Services and Integrations
The Services may link to or integrate with third-party sites, payment processors, hosting services, email providers, analytics tools, storage providers, calendars, identity providers, or other services. Third-party services are governed by their own terms and privacy practices. Dynamic Bio is not responsible for third-party services outside its control.
## 11. Fees and Subscriptions
Paid access is governed by the Subscription, Billing, Cancellation and Refund Policy and any applicable order form. Fees are stated in U.S. dollars unless otherwise specified. You are responsible for applicable taxes, duties, and charges other than taxes imposed on Dynamic Bio's net income.
## 12. Intellectual Property
The Services, software, designs, interfaces, trademarks, logos, text, graphics, data structures, compilations, workflows, documentation, and other Dynamic Bio materials are owned by or licensed to Dynamic Bio and are protected by applicable laws.
"Dynamic Bio," "Fusion," "Core," related logos, and associated branding may not be used without written permission. No rights are granted except as expressly stated.
## 13. Feedback
If you provide suggestions, ideas, or feedback, you grant Dynamic Bio a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use and commercialize that feedback without restriction or compensation, provided that Dynamic Bio will not publicly identify you as the source without permission.
## 14. Copyright and Rights Complaints
Send good-faith intellectual-property complaints to dynamicbio.info@gmail.com with sufficient information to identify the protected work, the allegedly infringing material, your contact information, a statement of good-faith belief, and a statement that the information is accurate and that you are authorized to act.
Dynamic Bio has not designated a Digital Millennium Copyright Act agent unless and until a current designation is published in the Legal Center.
## 15. Suspension and Termination
Dynamic Bio may suspend, restrict, or terminate access when reasonably necessary to address nonpayment, security threats, legal risk, prohibited conduct, misuse, material breach, service integrity, or harm to users or third parties. When practical, Dynamic Bio may provide notice and an opportunity to cure.
You may stop using the Services at any time. Cancellation of a paid subscription is governed by the Subscription Policy. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations, indemnification, confidentiality, audit rights, and dispute provisions.
## 16. Service Changes and Availability
Dynamic Bio may update, add, remove, suspend, or discontinue features. We aim to provide reliable services but do not guarantee uninterrupted, error-free, or continuously available operation. Maintenance, third-party outages, security events, legal restrictions, or technical conditions may affect availability.
## 17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." DYNAMIC BIO DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.
DYNAMIC BIO DOES NOT WARRANT THAT INFORMATION, OUTPUTS, LISTINGS, USERS, SUPPLIERS, PROJECTS, PRODUCTS, SERVICES, OR THIRD-PARTY CONTENT ARE ACCURATE, COMPLETE, SAFE, COMPLIANT, AVAILABLE, OR SUITABLE FOR A PARTICULAR PURPOSE.
Some jurisdictions do not permit certain disclaimers, so portions of this section may not apply to you.
## 18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNAMIC BIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITIES, OR BUSINESS INTERRUPTION; OR DAMAGES ARISING FROM THIRD-PARTY CONDUCT, PROJECT DECISIONS, SAFETY EVENTS, REGULATORY ACTIONS, MARKETPLACE TRANSACTIONS, OR UNAUTHORIZED ACCESS.
EXCEPT FOR LIABILITY THAT CANNOT LEGALLY BE LIMITED, DYNAMIC BIO'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY THE CLAIMING PARTY TO DYNAMIC BIO FOR THE AFFECTED SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100) IF NO FEES WERE PAID.
## 19. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Dynamic Bio and its officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys' fees arising from your User Content, violation of these Terms, unlawful conduct, marketplace activity, advertising materials, infringement, misuse of the Services, or violation of another person's rights.
## 20. Export Controls, Sanctions, and Anti-Corruption
You may not use the Services in violation of export-control, sanctions, anti-boycott, anti-corruption, or trade laws. You represent that you are not prohibited from receiving the Services and will not use them for restricted end uses, restricted parties, or prohibited jurisdictions.
## 21. Governing Law and Disputes
These Terms are governed by Florida law, without regard to conflict-of-laws principles, except where mandatory law requires otherwise. Before filing a claim, the parties will attempt in good faith for at least 30 days to resolve the dispute through written notice.
Subject to mandatory law, exclusive jurisdiction and venue will lie in the state courts located in Pasco County, Florida, or the United States District Court for the Middle District of Florida, as applicable.
## 22. Changes to These Terms
Dynamic Bio may update these Terms. Material changes will be posted with a revised effective date and, when appropriate, communicated through the Services or email. Continued use after the effective date constitutes acceptance where permitted by law. If required, Dynamic Bio will obtain renewed affirmative acceptance.
## 23. General Provisions
If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without written consent; Dynamic Bio may assign them in connection with a merger, financing, reorganization, sale, or transfer of the relevant business or assets. These Terms and incorporated documents constitute the entire agreement regarding their subject matter.
